Who is eligible to act as a member of an OPC?
Only a natural person who is an Indian citizen and resident in India is eligible to act as a member and nominee of an OPC. "Resident in India" means a person who has stayed in India for not less than 182 days during the immediately preceding financial year.
Is there a threshold for mandatory conversion to Private/Public Company?
Yes. If the paid-up share capital of an OPC exceeds ₹50 lakh, or its average annual turnover for the immediately preceding three consecutive financial years exceeds ₹2 crore, the OPC must mandatorily convert to a private or public company.
Can a new member join an OPC after incorporation?
No. An OPC can have only one member/shareholder. You can, however, appoint a nominee director who will manage the company in the event of the member's incapacity or death.
What is the role of a Nominee in an OPC?
The nominee is a designated person (typically a family member or close friend) who will take over as the sole member of the OPC in case the original member becomes incapacitated or passes away. The nominee must have a valid DSC and DIN.
What are the Government fees involved?
Government fees include MCA filing fees (based on authorised capital), Name Reservation (RUN) fee, State-specific Stamp Duty, and PAN/TAN application fees. These are charged separately and vary by state and share capital. Our team will provide an estimate before you proceed.
How long does OPC registration take?
Typically 20–30 working days from the date we receive all complete documents and Government fees are paid. Timelines depend on MCA processing and ROC response times, which are outside our control.
Can I convert my sole proprietorship to an OPC?
Yes. Existing sole proprietorships and firms can be converted into an OPC. Our experts will assess your current structure and guide you through the conversion process including transfer of assets/liabilities.
Does OPC registration include GST Registration?
GST registration is not included in this plan but is available as a separate service. After incorporation, you may need GST registration depending on your turnover and business type. Our team can assist with GST registration as a follow-on service.
